  1. SINGLE MEMBER COMPA

 

PHYSICAL PERSON

SHAREHOLDERS LEGAL PERSONS

 

  • Be a single physical shareholder / person.
  • Physical presence of the single partner as a natural person.
  • Submit 1 passport photo in colour of the single associate / natural person.
  • Submit 2 copies of the original ID (National Identity Card or Passport) of the single associate / natural person.
  • Payment of 40 000 BIF for the Trade Registry Certificate.
 

 

 

 

 

 

 

  • Be a single legal person shareholder.

NB: Single Member Company cannot be created by another Single Member Company

  • Submit the notarized statutes of the legal entity.
  • Submit the Trade Registry Certificate of the legal entity.
  • Submit minutes of the general meeting of Shareholder authorizing the registration of the company.
  • Physical presence of the representative of the legal person.
  • Submit 2 copies of the original ID of the representative of the legal person.
  • Payment of 40 000 BIF for the Trade Registry Certificate.

 

  1. COMPANY OF PEOPLE WITH LIMITED LIABILITY

SHAREHOLDERS PHYSICAL PERSONS

SHAREHOLDERS LEGAL PERSONS

 

  • Be at least 2 shareholders and 50 maximum.
  • Physical presence of each partner. If not, the non-present shareholder sends a notarized power of attorney from the country of origin, appointing the person who will represent him/her during the business registration enclosing a copy of his/her ID.
  • Submit 1 original and 2 copies of each shareholder's ID and if possible the representative.
  • Payment of 40 000 BIF for the Trade Registry Certificate.

 

  • Be at least 2 shareholders and 50 maximum.
  • Submit the notarized statutes of each legal entity.
  • Submit the Trade Registry Certificate of each legal entity.
  • Submit notarized minutes, for each legal entity shareholder, of the general meeting of shareholders authorizing the creation of the company and appointing the representative of each legal entity shareholder.

  • Submit 1 original and 2 ID copies of each representative.
  • Payment of 40 000 BIF for Trade Registry Certificate.

  • Be at least 3 shareholders.
  • Physical presence of each shareholder if not the non-present shareholder sends a notarized power of attorney from the country of origin, appointing the person who will represent him/her during the business registration and enclosing a copy of his/her ID.
  • Submit 1 original and 2 copies of the ID of each shareholder and possibly the authorized representative.
  • Payment of 40 000 BIF for the Trade Registry Certificate.

 

 

 

  • Be at least 3 shareholders.

  • Be at least 2 shareholders.
  • Submit minutes of the General Assembly constituting and establishing the cooperative and appointing the Chairman of the Board.
  • Physical presence of the Chairman of the Board
  • Submit 1 original and 2 ID copies of the Chairman of the Board.
  • Payment of 40 000 BIF for the Trade Registry Certificate.

 

  • Be at 2 shareholders.
  • Submit the notarized statutes of each legal entity.
  • Submit the Trade Registry Certificate of each legal entity.
  • Submit notarized minutes, for each corporate shareholder, of the General Assembly of Shareholders authorizing the creation of the cooperative.
  • Submit minutes of the General Assembly constituting and establishing the cooperative and appointing the Chairman of the Board.
  • Physical presence of the Chairman of the Board.
  • Submit 1 original and 2 ID copies of the identity document of the Chairman of the Board.
  • Payment of 40 000 BIF for the Trade Registry Certificate.

 

 

 

 

5.  OPENING A BRANCH IN BURUNDI

  •  Submit the Parent’s company notarized statutes;
  •  Submit the Parent’s company Trade Registry Certificate;
  •  Minutes of the shareholders' Assembly authorizing the opening of the branch in Burundi and appointing the representative of the parent company during the opening of the branch;
  •  Physical Presence of the representative of the parent company;
  •  1 original and copy of the ID of the representative;
  •  Payment of 40 000 BIF for the Trade Registry Certificate;
  •  If the shareholder is minor, he/she is represented by his/her legal guardian, under the condition that the legal guardian submits the birth certificate of the minor and his/her ID;
  •  Authorization of a minor under the age of eighteen to trade is granted by order of the President of the High Court of the place of residence of the minor.
     

 6. MODIFICATION TO THE TRADE REGISTRY CERTIFICATE 

  • Submit a copy of the legal statutes of the company;
  • Submit a copy of the company's Trade Registry Certificate;
  • Submit a notarized copy of the minutes of the General Assembly of shareholders, through which the decisions of modification were made;
  • Submit the original and a copy of the ID/ Passport of the qualified person appointed by the shareholders;
  • Physical presence of the Company Representative;
  • Payment of 10 000 BIF.
     

 

7. APPLICATION FOR DUPLICATE

o Submit a loss certificate delivered by the Judicial Police;
o Submit the original and a copy of the national ID / passport of the qualified person appointed by the shareholders;
o Payment of 5 000 BIF.
